    Administrative Measures for the Engineering Procurement Construction (EPC) of Projects Invested by Zengcheng District Government


    Chapter I General Provisions

    Article 1 In order to improve the government investment management system, promote the construction of government-invested EPC projects, facilitate the deep integration of engineering survey, design and construction, improve the construction level and investment benefit of EPC projects invested by Zengcheng district government, under theGovernment Investment Ordinance (Order No.712 of the State Council of the People's Republic of China), Notice of the National Development and Reform Commission, Ministry of Housing and Urban-Rural Development on Printing and Distributing the Administrative Measures for the Engineering Procurement Construction of Housing Construction and Municipal Infrastructure Projects (Jian Shi Gui [2019] No.12), Implementation Opinions of Guangdong Provincial Department of Housing and Urban-Rural Development on Deepening the Reform of Bidding and Tendering for Housing Construction and Municipal Infrastructure Projects (Yue Jian Shi [2020] No.119), Guangzhou Construction Project Tendering and Bidding Management Measures (Sui Fu Ban Gui [2017] No.5), Guangzhou Zengcheng District People's Government's Opinions on Implementing the Regulations on Government Investment (Zeng Fu [2020] No.10) and other relevant regulations, combined with the actual situation of Zengcheng district, these Measures are hereby stipulated.

    Article 2 These Measures shall apply to the implementation of the Engineering Procurement Construction mode of design-procurement-construction (hereinafter referred to as EPC) for government-invested construction projects within the administrative area of this District. If the competent departments of water affairs, transportation and other industries have relevant management measures, they can refer to these Measures after meeting the industry management regulations.

    Article 3 The term "EPC" as mentioned in these Measures refers to the organization and implementation mode of engineering construction in which the contractor implements EPC for the whole process or several stages of investigation, design, procurement and construction of engineering construction projects according to the contract signed with the construction unit, and is fully responsible for the quality, safety, construction period and cost of the project.

    Article 4 The EPC activities of a project shall follow the principles of legality, high efficiency, fairness, honesty and trustworthiness, reasonably share risks, ensure the quality and safety of the project, save energy and protect the ecological environment, and shall not harm the public interests, the legitimate rights or interests of others.

    EPC projects shall strictly implement the basic construction procedures and abide by the regulations on the management of government-invested projects.

    Article 5 District departments in charge of construction projects shall, in accordance with their duties and powers, be responsible for the supervision and administration of EPC activities within their respective administrative areas. District Development and Reform Department shall perform corresponding management duties according to relevant laws and regulations on investment and construction management of fixed assets.


    ChapterⅡ Contract awarding and contracting of EPC projects

    Article 6 The construction unit shall reasonably choose the organization and implementation mode of the construction project according to the scale and complexity of the project and its own management ability. The construction of government-invested projects with clear content, mature technical scheme and estimated total investment of more than 30 million yuan (inclusive) in principle can adopt the EPC method. Government-invested projects with clear construction content, mature technical scheme and estimated total investment less than the above amount shall be audited by the competent department of industry and reported to the leaders of the district government in charge of the department for examination and approval before adopting the EPC method. For projects with high individuation requirements, complex situations and many variables in construction requirements and standards (such as underground construction projects, memorial buildings, emergency projects, etc.), it is not appropriate to adopt the EPC method.

    The construction unit shall declare whether to adopt the EPC method of the project according to the procedures stipulated in theImplementation Opinions of Zengcheng District People's Government of Guangzhou on Implementing the Regulations on Government Investment (Zeng Fu [2020] No.10), and specify the contract awarding method in the project proposal or project feasibility study report, and complete the project approval, approval or filing procedures before the project contract awarding.

    Article 7 For government investment projects that adopt the EPC method, in principle, the EPC project shall be awarded after the preliminary design examination and approval is completed. Except for the following circumstances:

    (a)In accordance with the relevant provisions of the government investment projects that do not need to carry out preliminary design and budget approval, after completing the corresponding investment decision approval, the EPC project bidding can be carried out.

    (b) With clear project needs and eligible design depth required by bidding, in the project proposal or project feasibility study report, Or if there are planning or other examination and approval documents that can determine the qualification grade of bidders, the construction unit can carry out effective cost control, ensure the investment benefit of the project, and bear the legal risk of bidding failure caused by changes in relevant conditions of the project, the bidding for EPC of the project can be carried out.

    Article 8 The construction unit shall do a good job in the preliminary work of the project before awarding the contract. Self-employed or entrusted consulting units shall conduct in-depth research on the construction scheme of the project, and make full use of the government, industry and other construction standards to clarify the construction needs of the EPC project to be implemented. If there is no corresponding construction standard, industry experts shall be organized to discuss and other ways to clarify the construction needs. The construction unit shall formulate the bidding requirements (including the design specification) according to the conditions met in the project contracting stage, which shall include but not limited to the following content:

    (a) The scale and standards of construction: Housing construction projects include building area, floor height, facade building form, external water, electricity and drainage, basement parking spaces, use requirements, decoration standards, etc., such as various main materials used, material types, specifications and brand grades of decorative surface materials, facade decorative materials, installation projects including main parameters, indicators and brand grades of equipment, etc.; Municipal engineering includes road grade, bridge grade, sewage treatment capacity, etc., including road section form, pipeline condition, pavement structure layer, surface structure mode, material and thickness, greening standard, sidewalk brick and roadside stone type and standard, etc.; Construction standards and specifications of transportation, water affairs and other projects.

    (2) Workcontent: including division of labor and responsibilities in early stage, survey, design, procurement and construction.

    (3) Technical route: including technical standards, process routes, industrial construction methods and BIM technology.

    (4) For the main materials and equipment purchased by the bidder itself, the tenderee may put forward the technical standards or quality requirements of the materials and equipment in the tender documents. If the technical standard of a production supplier must be quoted in order to accurately or clearly explain the technical standard of the project to be tendered, no less than 3 brands or production suppliers of the same grade can be quoted for bidders to choose when quoting. The words "reference or equivalent" should be added before the name of the quoted brand or production supplier, and the quoted goods brands or production suppliers should be selective in the market.

    Article 9 In the design, procurement or construction within the scope of an EPC project, if any item belongs to the scope of the project subject to tender according to law and meets the scale standard stipulated by the state, the EPC unit shall be selected by means of tender.

    Consultation, survey and scheme design need to be carried out in the early stage. If the preliminary design is subject to bidding according to law, the consulting, survey and design units shall be selected by bidding.

    Article 10 For projects subject to tender according to law, the contract price shall be reasonably determined on the basis of full competition. The EPC of the project shall implement quota design and construction, and the bidding control price is the maximum contract limit of the project, which shall not be changed at will. The construction unit and the general contractor may stipulate the measurement rules and valuation methods of the general contractor in the contract.

    (a)In the completion of the project proposal or feasibility study report approval procedures for the EPC of the project bidding, the survey fee, engineering design fee, construction and installation project fee, reserve fee, venue preparation and temporary facilities fee, BIM technology application fee and other expenses within the bidding scope corresponding to the estimated investment amount approved by the project proposal or feasibility study report are taken as the bidding control price.

    If the contract is awarded at this stage, it is appropriate to adopt the downward floating rate quotation and the approved total budget as the upper price limit settlement method, and the bidder adopts the downward floating rate quotation according to the project situation. After the preliminary design prepared by the winning bidder is confirmed by the construction unit and approved by the administrative department, the total project budget shall be compiled. The settlement price of the contract shall be implemented according to the approved budget estimate and the downward floating rate of the bid.

    (b) After the completion of the expert evaluation of the scheme design and the examination of the functional departments, the engineering design fee (preliminary design and construction drawing design), construction and installation project fee, reserve fee, venue preparation and temporary facilities fee, BIM technology application fee and other expenses within the bidding scope corresponding to the estimated investment amount approved by the project proposal or feasibility study report are taken as the bidding control price.

    If the contract is awarded at this stage, it is appropriate to adopt a fixed unit price contract. After defining the scheme design, construction scale and construction standards, the construction unit shall be responsible for preparing the bill of quantities for bidding estimation and the bidding control price. The general contractor shall fill in the bidding according to the bill of quantities estimated by bidding. The general contract clearly stipulates that bidding is the final settlement basis, the engineering quantity is settled according to the actual situation, and the approved budget estimate is the upper limit of settlement price.

    (3) If the EPC bidding is carried out after the preliminary design review and budget estimate review, the engineering design fee (construction drawing design), construction and installation project fee, reserve fee, venue preparation and temporary facilities fee within the bidding scope corresponding to the reviewed budget investment amount shall be taken as the bidding control price.

    If the contract is awarded at this stage, it is appropriate to adopt a fixed lump sum contract. After the construction unit clarifies the preliminary design scheme, construction scale, construction standard and bidding control price, the general contractor shall prepare its own estimated bill of quantities for bidding. Except for the circumstances that can be adjusted as agreed in the contract (such as the principles and methods of price adjustment of materials and labor costs), the total contract price is generally not adjusted.

    In the bidding documents and the general contract, it shall be clear that the total budget estimate shall not exceed the approved investment estimate, and the final (settlement) calculation price shall not exceed the approved total budget estimate.

    Article 11 The construction unit shall, according to the situation of the project, prepare theProject Cost Control Plan with reference to the model text issued by the competent department of industry in district, and issue it at the same time as the bidding documents.

    The construction unit shall refer to theEPC Contract for Construction Projects (Model Text) (GF-2020-0216) and formulate the EPC contract for construction projects in combination with the actual situation of the project, and take it as an integral part of the bidding documents.

    Article 12Construction units and EPC units shall strengthen risk management and share risks reasonably.

    The risks borne by the construction unit mainly include:

    (a) Compared with the corresponding prices in the benchmark period of price adjustment, the fluctuation range of major engineering materials, equipment and labor exceeds the range agreed in the contract.

    (b) Changes in the contract price caused by changes in national laws, regulations and policies.

    (c) Changes in project cost and construction period caused by unforeseen geological conditions.

    (d) Changes in project costs and construction periods due to the reasons of the construction unit.

    (e) Changes in project cost and construction period caused by force majeure.

    The specific risk sharing content shall be agreed by both parties in the contract.

    Article 13 A general contractor of a project shall have both engineering design qualification and construction qualification commensurate with the scale of the project, or a consortium of design units and construction units with corresponding qualifications shall be formed. The EPC unit shall have the corresponding project management system and project management ability, financial and risk-bearing ability, and the design, construction or EPC performance similar to the contracted project. The general contractor of the project shall specify the content to be subcontracted in the bidding documents.

    In case of participating in the bidding of EPC project in the form of consortium, the consortium agreement shall be submitted, the lead unit shall be reasonably determined according to the characteristics and complexity of the project, the responsibilities and rights of consortium member units shall be clearly defined in the consortium agreement, and the content such as benefit sharing and risk sharing shall be reflected. For the consortium winning the bid with the design unit as the organizer, the construction unit shall specify the relevant information of the EPC project manager and the construction project manager in the bid-winning notice. All parties to the consortium shall jointly sign a general project contract with the construction unit and bear joint and several liabilities for the general project.

    Article 14 The EPC project manager shall obtain the registered practice qualification or advanced professional and technical professional title of engineering construction, have served as the EPC project manager, design project head or construction project manager, be familiar with the relevant laws, regulations and standards of engineering construction, and have corresponding engineering achievements.

    The EPC project manager shall not serve as the EPC project manager or the construction project head in two or more projects at the same time.

    Article 15 EPC of projects generally adopts comprehensive evaluation method, and the evaluation factors shall include content such as design scheme (if any), bidding quotation, implementation scheme of EPC of projects (including credit part), etc. The bidding documents shall be prepared in accordance with the national model, and the relevant evaluation standards shall follow the principles issued by the competent departments of the bidding industry.

    Article 16 The bid evaluation committee shall, in accordance with the law and the characteristics of the project, be composed of representatives of the construction unit, experts with experience in project management of EPC, and experts engaged in design, construction and cost.


    Chapter III Implementation and Management of EPC Projects

    Article 17 The construction unit shall strengthen the whole process management of the EPC project and fulfill the contract and legal obligations. The construction unit with the ability of project management in the whole process can manage the EPC project by itself, or entrust the project management units such as survey and design units and agent construction units to give corresponding rights and manage the EPC project according to the contract. Those who do not have the ability of project management in the whole process should entrust the agent construction or project management unit to manage the EPC project, and can also entrust third-party service organizations such as project cost consulting unit and design consulting unit according to the situation of the construction unit to meet the requirements of project management ability. If bidding is necessary according to law, the construction unit shall select the service unit by means of bidding.

    Article 18 If the construction unit needs to supervise and manage the survey, design, procurement, construction, service and other work processes or process nodes of the general contractor, it shall appoint engineers to be responsible for the management work, and specify the scope of supervision and management, content and authority in the special contract conditions. According to the relevant laws and regulations of the state, if it is a compulsory supervision project, the engineer shall be the supervision engineer of the supervision unit.

    Article 19 For a project under EPC after the examination and approval stage of the project proposal or feasibility study report or after the completion of the scheme design review stage, the EPC unit shall be responsible for the preparation of the budget estimate, and no additional preparation cost shall be calculated. The total budgetary estimate prepared by the general contractor shall not exceed the estimated total investment in the approved project proposal or feasibility study report. The construction unit shall urge the general contractor to prepare the project budget in time and send it to the competent departments of various industries in district for review, so as to give full play to the investment control role of the preliminary design budget.

    When preparing the project budget estimate, if some special materials and equipment cannot be priced or are obviously higher than the market price, the project owner shall organize the expert evaluation, and make clear whether to adopt special processes, special materials and special equipment according to the expert opinions. Project owners (including agent construction or project management units), together with industry authorities, cost departments, supervision, consultation, cost control, design, industry experts and EPC units, set up an expert group for material (equipment) price verification to study and determine.

    After the general contractor prepares the budget estimate, it shall be audited by the construction unit or entrusted by the construction unit to a qualified cost consulting unit, and shall be sent to the competent department of industry for review after the audit is completed. The estimated budget after evaluation shall be used as the basis for the construction unit to apply for project progress payment.

    Article 20 The construction unit may require the general contractor to prepare the construction drawing budget (if the general contractor has no budget preparation qualification, it shall entrust a qualified unit to prepare it), and no additional preparation cost shall be calculated, and the budget preparation cost shall not be included in the budget estimate. After the general contractor prepares the budget, the construction unit may entrust a qualified cost consulting unit to audit. The construction drawing budget can be used as the basis for the construction unit to audit the project progress payment and the basic data for the project settlement.

    Article 21 Before the project budget is reviewed by the financial department, the pre-project expenses (such as survey and design fees, etc.) shall be paid according to the contract; When the project meets the construction conditions, the advance payment of the project can be paid. In principle, the disbursement ratio is not higher than 15% of the contract amount (project construction and installation fee, venue preparation and temporary facilities fee). The construction unit can agree in the contract to pay in installments according to the project promotion node; Before the project budget is evaluated financially, the construction unit shall notmake the project progress payment. The payment method of the above funds shall be specified in the bidding contract.

    Article 22 The construction unit and the general contractor shall strengthen the management of design and construction, ensure that the site, scale and content of the construction meet the requirements of project examination, approval and filing, and shall not change the construction content, expand the construction scale and improve the construction standards without authorization. Engineering changes shall be submitted for approval by the construction unit according to the government investment project management procedures. The total cost of the changed project should be controlled within the scope of the reviewed budget estimate. If the budget estimate is exceeded due to the reason of construction unit, the construction unit shall follow the principle of "first approval, then change" and go through the procedures for adjusting the budget estimate in accordance with the relevant provisions of the capital construction procedures.

    Any engineering change shall not lower the quality and safety standards of preliminary design, and shall not lower the engineering quality, durability and safety. The EPC unit shall establish a complete EPC project management system, strengthen professional cooperation among design, procurement and construction, and reduce unnecessary engineering changes.

    Article 23 In the course of contract execution, if the contract price increases due to unforeseen reasons or engineering changes, the engineering change procedures shall be handled in accordance with the relevant provisions of the capital construction procedures.

    Engineering changes shall pass the technical audit of engineers or supervision engineers. If it is considered that it is really necessary to change after examination, the engineer or supervision engineer shall report to the construction unit for approval, and then issue a written change instruction to the general contractor. The change instruction shall explain the planned change scope and content of the change, the specific measures to be taken and the impact on the contract price and construction period.

    Article 24 The general contract shall specify the treatment methods for the adjustment of the contract price caused by legal changes, market price fluctuations, construction delay, design changes, etc., and stipulate the main engineering materials, engineering equipment, labor prices and other cost content considered by both parties to be adjusted according to the market price. The benchmark period of price adjustment shall be determined according to the following circumstances:

    (a) For projects that implement EPC after the examination and approval stage of the project proposal or feasibility study report or after the completion of the scheme design review stage, the contract price shall be adjusted according to the matters agreed in the contract with reference to the provisions of theCode for Valuation with Bill of Quantities of Construction Projects (GB50500-2013). The benchmark period of price adjustment is the monthly price period of material information used in the evaluation results of budget estimates.

    (b) For projects that implement design (construction drawing design) construction EPC after the preliminary design documents and budget estimates are approved, the contract price shall be adjusted in accordance with the provisions of theCode for Valuation with Bill of Quantities of Construction Projects (GB50500-2013) and the matters agreed in the contract. The benchmark period of price adjustment is the corresponding information price period 28 days before the deadline of bidding documents.

    (c) In the project settlement stage, the decreased comprehensive unit price lump sum of the bill of quantities after the audited budget (except for the adjustment agreed in the contract, such as the labor price, material price and machinery usage fee changes beyond the agreed scope during the construction period) is adopted as the settlement reference price. If there is any unit price or opening item not in the audited budget in the settlement book, the opening item group price shall be based on the relevant pricing basis and combined with the bidding downward floating rate, and the engineering quantity shall be settled according to the construction drawing reviewed and confirmed by the construction drawing and the engineering change that should be undertaken by the construction unit as agreed in the contract. Measures fees and other project list fees shall be settled according to the actual rate of the audited budget, while measures fees and other project list fees with unit price shall be contracted according to the comprehensive unit price of the audited budget and floated down in combination with the downward floating rate, and the engineering quantity shall be settled according to the actual rate. When the EPC project is settled, it shall be settled according to the downward floating rate of bidding.

    Article 25 At the time of settlement, the expenses within the scope of bidding for EPC of the project shall not exceed the cost after the corresponding expenses in the evaluated budget estimate are lowered.

    Article 26 An EPC unit shall not be an agent construction unit, project management unit, supervision unit, cost consulting unit or bidding agency of an EPC project. If the tenderee of a government-invested project discloses the completed project proposal, feasibility study report and preliminary design documents, the preparation and evaluation unit of the above documents may participate in the bidding of the EPC project of the project, and become the EPC unit after bid evaluation and calibration according to law.

    In order to strengthen the management of government investment projects, for projects that do not meet the scope and scale standards that must be tendered according to law, the construction unit can select corresponding professional consulting units or whole-process consulting units through inquiry or other means.

    Article 27 The EPC unit of the project shall establish an organizational structure and management system suitable for the EPC of the project, put forward detailed, advanced and feasible EPC project management organization scheme, equipment procurement scheme and construction plan scheme to the construction unit, establish an organizational structure with integration of design, procurement and construction and multi-disciplinary cooperation. In the bidding documents, it is necessary to specify the people in charge of project, design, procurement, construction and other major issues respectively, who actually participate in the EPC project and have appropriate professional ability. They shall form the comprehensive management ability of project survey, design, procurement, construction, trial operation management, quality, safety, construction period, cost, energy conservation and ecological environment protection management.

    Article 28The EPC unit of the project shall establish project management institutions in construction site, set up construction project manager and on-site management positions such as technology, quality, safety, schedule, cost, equipment and materials, equip corresponding management personnel, strengthen the coordination of survey, design, procurement and construction, improve and optimize the design, improve the construction scheme, and at the same time, implement the inspection system of enterprise leaders in EPC units to realize effective control of EPC projects.

    The construction project manager of the general contractor shall not hold office in two or more projects at the same time.

    Article 29 The general contractor of a project may, according to the contract or with the consent of the construction unit, subcontract the survey, professional engineering design or professional engineering construction business in the EPC contract to units with corresponding qualifications, but may not subcontract all the design and construction business in the EPC project to other units together or separately. However, when subcontracting projects, goods and services included in the scope of EPC in the form of provisional valuation, if they belong to the scope of projects according to law and meet the standards of bidding scale stipulated by the state, must be tendered according to law.

    Article 30 EPC units shall not subcontract the EPC projects.

    If a project is contracted by means of a consortium,as agreed in the division of labor agreement of the consortium or in the actual implementation of the project, if one party of the consortium neither implements the design or construction business according to its qualifications, nor organizes and manages the project, and collects management fees or other similar fees from other members of the consortium, it shall be deemed that one party of the consortium subcontracts the contracted project.

    Article 31 The general contractor shall be responsible for the quality of all the construction projects contracted by itself, and the subcontractors shall be responsible for the quality of the subcontracted projects. Subcontracting does not exempt the general contractor from the quality responsibility of all the construction projects contracted by itself.

    The EPC unit and the EPC project manager shall bear lifelong responsibility for quality according to law. The information of the EPC unit and its project manager should be added to the permanent sign and quality lifelong responsibility information table of the EPC project.

    Article 32 The EPC unit shall take overall responsibility for the safe production of the projects within the contracted scope. Subcontractors shall obey the safety production management of the general contractor. If the subcontractors do not obey the management and lead to production safety accidents, the subcontractors shall bear the main responsibility, and subcontracting shall not exempt the general contractor from the safety responsibility.

    Article 33 Construction units shall not set unreasonable construction period, and shall not arbitrarily compress reasonable construction period.

    The general contractor shall be fully responsible for the construction period according to the contract, control and manage the overall progress of the project and the progress of each stage, and ensure that the project is completed on schedule.

    Article 34 If all the work of the project has been completed and meets the requirements and agreed conditions for completion acceptance, the general contractor of the project shall submit the project completion report to the construction unit and apply for completion acceptance of the project. The construction unit shall organize all participating units to carry out project completion acceptance in accordance with legal procedures and the time limit agreed in the contract, and shall file with the competent department within the statutory time limit after passing the acceptance.

    Article 35 The construction unit shall timely collect and sort out the documents and materials of each link of the construction project, as well as the project materials handed over by the EPC unit, project supervision and other units, establish the project archives, and hand them over to the urban construction archives management department in a timely manner after the completion and acceptance of the project.

    The EPC unit shall be responsible for the examination, signing and arrangement of various engineering data during the implementation of the project within the scope of the EPC, and hand over the corresponding engineering archives to the construction unit. The EPC unit of the project shall assist the construction unit in establishing the electronic documents and archives of the project.

    Article 36 The project warranty shall be signed by the construction unit and the general contractor. During the warranty period, the general contractor shall bear the warranty responsibility according to laws, regulations and the contract. The general contractor shall not refuse to perform the warranty responsibility because of the division of warranty responsibility between it and subcontractors.


    Chapter IV Supervision and Administration

    Article 37 District departments in charge of industry should strengthen the supervision and inspection of the behavior of all participating units in the EPC activities of local projects.

    Article 38 The competent department of district industry shall strengthen the credit management of the participating units and project management personnel of EPC projects, timely collect the information of EPC projects, participating units, project management personnel and related credit information within their respective administrative areas, establish a credit information sharing mechanism, and implement joint incentives for keeping promises and joint punishment for breaking promises.

    Article 39 Participating units should strengthen industry self-discipline, consciously abide by industry conventions, promote fair competition, and guide the healthy development of the industry.

    Article 40 In the EPC activities of projects, in case of any violation of laws and regulations such asConstruction Law of the People's Republic of China, Bidding Law of the People's Republic of China, Regulations on the Administration of Survey and Design of Construction Projects, Regulations on the Administration of Quality of Construction Projects and Regulations on the Administration of Safety Production of Construction Projects, the general contractor and relevant responsible personnel shall be punished according to relevant regulations. In case of violation of laws and regulations twice within one year, the relevant participating units shall not contract the for the construction of investment projects of Zengcheng district government, and the intermediary institutions shall not participate in the intermediary services of the investment projects of Zengcheng district government.

    If the loss of government investment funds is caused, the economic responsibility of relevant units shall be investigated according to law; If a crime is constituted, criminal responsibility shall be investigated according to law.


    Chapter V Supplementary Provisions

    Article 41 The provisions not covered in these Measures shall be implemented in accordance with the relevant laws, regulations and provisions of the State, Guangdong Province, Guangzhou City and Zengcheng District.

    Article 42 These Measures shall be implemented as of the date of issuance and shall be valid for five years. Before the implementation of these Measures, those who have entered the bidding stage and issued a bidding announcement but have not opened bids shall be implemented with reference to these Measures.
